have a limited licence to operate the package,  but continued use will

The  package  was  developed  to  provide  share  registry  management 
services  for  Public  listed  and  unlisted companies,  large private 
companies,  and Unit Trusts,  for which special provisions  have  been 
incorporated.  The  package  was  developed originally in 1986 and has 
been used extensively in the public company  area;  however  with  the 
advent of more powerful programming languages, it was felt appropriate 
to  completely  rewrite  the  software  -  hence  the  introduction of 
C.A.C.S. REGISTER II.  

In house Share Registry management provides companies with the ability 
to instantly and easily access shareholder data in response to queries 
from shareholders,  company management and interested  parties.  Since 
the  share market collapse in 1987,  most companies have experienced a 
much reduced level of share transactions,  which  has  made  the  cost 
charged  by  commercial  share registrys per transaction to skyrocket.  
Because of the reduced transactions,  companies and trusts are able to 
take  advantage  of  the reduced processing times to operate their own 
registrys,   thus  saving  considerable  fees  whilst   simultaneously 
enhancing  shareholder and management services.  Full support is given 
to the latest legal and stock  exchange  requirements,  including  the 
taxation  office  requirements  in  relation  to  tax file numbers and 
returns.  Electronic TFN reports will be  supported  when  introduced, 
and  internal  validation  of  TFN  numbers  allows a reduction of ATO 
requirements.  

About this Software....  

The share registry software  was  originally  written  for  Australian 
conditions.  However,  if  you  have  special  problems,  either  with 
legistlation or other requirements in your country,  we would be  keen 
to  modify  the  software  for  your  use.  This  is  a  flexible  and 
comprehensive product,  so please contact us if you need any advice or 
other help.  

REGISTER  II  provides  considerable  enhancements  over  the original 
product.  Notable among these  is  multi-user  availability,  ease  of 
adding  additional  registers  (multi registry versions only),  a huge 
increase in speed of execution 2000%) and modern windowing techniques.  
The package supports colour or monochrome monitors,  and occupies some 
5  megabytes  of  disk  storage.  Due  to  the  amount of data that is 
manipulated, it is recommended that the system be run on an IBM-486 or 
clone thereof, or any faster IBM compatible machine 

This product runs just fine in a DOS windows under Windows 95, Windows 
for Workgroups 3.11,  Windows NT Workstation,  Windows NT Server.  All 
major Network LAN operating systems are supported, including NOVELL.  

The   language  used  in  this  package  is  an  ultra  fast,   highly 
sophisticated,  relational data base  management  system  with  highly 
durable data management features.  

INSTALLATION 

Please read licence agreement, LICENCE.TXT before installing.

Install  the  software in a subdirectory of your choice.  The software 
is contained in a compressed executable file  called  REG.EXE.  First, 
get to a dos prompt and type MD \REG which creates the REG directoryt.  
Change  into  that  directory  by  typing CD\REG Then type A:\REG,  or 
another path,  to run REG.EXE and install the programs.  Do  not  copy 
REG.EXE to the same directory.  

To  start  using  the  package from the DOS prompt,  change to the REG 
directory and type REG [Enter] 


MANUALS AND HELP 

Included with the softeware is the file MANUAL.DOC, a Word for Windows 
6.0 format manual.  This does not include the sample forms and reports 
contained in the registered version.  Also on the disk  is  the  files 
MANUAL.REG,  MANUAL1.REG,  MANUAL2.REG,  and  MANUAL3.REG,  as well as 
APPENDX1.REG,  INDEX.REG,  & CONTENTS.REG  which  are  the  text  file 
equivalents of the Word for Windows manual.  


OPERATING A SHARE OR TRUST REGISTER 

      Many  companies  and  trust  managers have had little to do with 
      operating  their  own  share  registry,  as  it  may  have  been 
      previously  done  by  a  commercial share registry.  However the 
      principles are simple and easily accomplished with a minimum  of 
      time involved.  

At all times various keys are available, and their usage is consistant 
thoughout  the  package.  The [F1] refers to any help available on the 
current topic,  and this places a window in the centre of  the  screen 
containing  help  text.  The [F10] key always means EXIT and this will 
return you to the previous menu where appropriate.  The main  menu  is 
as follows: 

TRANSFERS To enter buyers and sellers in the case of trades,  and also 
to enter redemptions in the case  of  trusts  with  redeemable  units.  
ALLOCATIONS  To  make a new issue of shares or units to a shareholder.  
This is used for individual transactions, as opposed to issues under a 
rights issue or a dividend election scheme.  

AMENDMENTS  MENU  To  make  various  adjustments  such  as  change   a 
shareholders details,  change a paid value or share status or cancel a 
certificate that has been wrongly issued.  

REPORTS/CERTIFICATE PRINT To print out  various  reports  on  security 
holders,  or  to  look up Clients current holdings or trading history. 
Also to print certificates.  

DIVIDENDS To calculate, print reports,  print cheques,  print dividend 
imputation  notices and handle dividend election schemes.  This option 
allows for deferred dividend status and for payment of dividends at  a 
time different from the time of calculation.  

RIGHTS   ISSUES   To   calculate   entitlements,   print   notices  to 
shareholders, print reports,  operate rights trading,  accept receipts 
and  print  banking  reports,  print entitlements not accepted report, 
issue shares and convert to another class.  

SYSTEM MAINTENANCE Provides a number  of  utilities  such  a  recovery 
after  a  power  failure,   change  of  name  and  class  maintenance, 
certificate number maintenance,  global status changes,  date  change, 
colour changes, and so on.  

SAMPLE REGISTRY PROCEDURES 

      Go  to  reports and look up a shareholders current holdings.  By 
      typing a name,  you can find easily a shareholder as the  system 
      "matches"  the  nearest  name to what you type on the right hand 
      side of the screen.  The <F2> key displays a look up and  select 
      box.   Look   up   the   shareholder's   history  and  note  the 
      differences.  

      Try a transfer.  Note the windowing and logging of what has been 
      processed.  Try  an allocation.  View the results in the screens 
      mentioned above.  Note that on purchasing the system,  you would 
      receive  training  and  a  manual.  Now try to do an allocation. 
      This is consistant with the buyer entry side of a transfer.  

      Try the options in the amendments menu.  You are  provided  with 
      comprehensive  detail  areas on shareholders.  Then try printing 
      some reports,  particularly the Shareholder Statistics.  A  good 
      range is provided.  

      Rights and dividends are both comprehensive areas, incorporating 
      the  usual  forms  generators  used elsewhere in the package.  A 
      comprehensive read of the  manual  is  required  to  effectively 
      generate  forms,  but  the  system  can  produce  virtually  any 
      certificate,  form,  advice,  or mail merge letter that you  can 
      think of.  

      Finally,  try  out  the various options in the maintenance menu, 
      which allow various  system  parameters,  colours,  etc,  to  be 
      modified.
